1. Introduction and Acceptance of Terms

Welcome to Spark Interiors Ltd. These Terms and Conditions ("Terms") govern your use of our website, products, and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Spark Interiors Ltd reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications indicates your acceptance of the updated Terms.

2. Definitions

"Company," "we," "us," or "our" refers to Spark Interiors Ltd and its subsidiaries, affiliates, officers, directors, employees, agents, and contractors.

"Customer," "you," or "your" refers to any individual or entity that engages our services, submits inquiries, or uses our website.

"Services" refers to all interior design and renovation solutions, including but not limited to consultation, design, project management, construction, fit-out works, and after-sales support.

"Works" refers to all renovation, construction, fit-out, and installation works carried out by Spark Interiors Ltd or its appointed contractors.

"Materials" refers to all building materials, fixtures, fittings, furniture, and equipment supplied as part of our services.

3. Services Description

Spark Interiors Ltd provides comprehensive interior design and renovation services for residential, commercial, and retail properties in Hong Kong. Our services include:

• Interior design consultation and space planning

• Custom design and 3D visualisation

• Full renovation and fit-out works

• Kitchen and bathroom renovation

• Flooring, painting, and wall treatments

• Electrical and plumbing works

• Custom furniture and cabinetry

• Project management and coordination

• Post-completion maintenance and support

4. Quotations and Estimates

All quotations provided by Spark Interiors Ltd are valid for thirty (30) days from the date of issue unless otherwise specified. Quotations are based on the information provided by the customer and may be subject to change upon site inspection or if project requirements change.

Quotations are estimates only and do not constitute a binding contract. The final price may vary based on actual site conditions, material costs, hidden works discovered during renovation, and scope changes. Any additional work requested beyond the original scope will be quoted separately.

We reserve the right to withdraw or amend any quotation if there are changes in material costs, labour rates, or regulatory requirements before acceptance.

5. Orders and Contracts

A binding contract is formed when you accept our quotation in writing and we acknowledge receipt of your acceptance along with any required deposit. All orders are subject to our acceptance and availability of materials and labour.

Once a contract is formed, any changes to the scope of work must be agreed upon in writing by both parties through a variation order. Change orders may affect the project timeline and total cost.

We reserve the right to decline any order or terminate a contract if we reasonably believe the customer has breached these Terms or if circumstances beyond our control prevent us from fulfilling the contract.

6. Project Execution Terms

Works will be scheduled upon receipt of the required deposit, subject to material availability and labour scheduling. We will provide a project timeline and keep you informed of progress throughout the project.

Customer Responsibilities

• Provide vacant possession and safe access to the premises

• Obtain necessary approvals from building management and relevant authorities

• Pay management office deposits and decoration fees as required

• Ensure utilities (water, electricity) are available during works

• Make timely decisions on design selections and material choices

• Be available or designate an authorised representative for site inspections

Any delays caused by customer's failure to meet these responsibilities may result in additional charges and project timeline extensions.

Site Conditions

Our quotation is based on normal site conditions. Additional charges may apply if unexpected conditions are discovered during works, including but not limited to structural issues, water damage, pest infestation, asbestos, or other hazardous materials.

7. Warranties and Guarantees

Workmanship Warranty

Spark Interiors Ltd provides a workmanship warranty of one (1) year from the date of project completion and handover, covering defects in workmanship. This warranty includes:

• Rectification of defective works at no additional cost

• Repair or replacement of faulty installations

• Touch-up of paint and finishing where defects appear

Material Warranties

Materials and appliances are covered by their respective manufacturer warranties. We will assist in coordinating warranty claims with manufacturers where applicable.

Warranty Exclusions

The warranty does not cover:

• Normal wear and tear

• Damage caused by misuse, negligence, or accidents

• Modifications or repairs by third parties

• Natural movement or settling of building structure

• Damage from water leakage originating outside the scope of works

• Items supplied by the customer

8. Limitation of Liability

To the maximum extent permitted by law, Spark Interiors Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, including but not limited to loss of profits, revenue, data, or business opportunities.

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

We are not responsible for any damage or loss caused by:

• Acts of God, natural disasters, or severe weather events

• Pre-existing defects in the building structure or systems

• Actions of other contractors or parties not under our control

• Customer's failure to follow care and maintenance guidelines

• Delays caused by building management, government authorities, or utility companies

• Force majeure events including epidemics, strikes, or civil unrest

9. Cancellation and Refund Policy

Customer Cancellation

If you wish to cancel your project, please notify us in writing as soon as possible. Cancellation fees may apply as follows:

• Cancellation before materials order: Deposit refunded less 15% administrative fee and design fees incurred

• Cancellation after materials order: Deposit non-refundable; customer liable for all materials ordered and non-recoverable costs

• Cancellation after works commence: Full contract amount payable for works completed plus materials ordered

Company Cancellation

We reserve the right to cancel a contract if site conditions are found to be unsuitable, if the customer breaches these Terms, or due to circumstances beyond our control. In such cases, we will refund any payments made less costs already incurred and a reasonable fee for work completed.

10. Intellectual Property

All intellectual property rights in our design concepts, drawings, 3D renderings, proposals, and documentation remain the exclusive property of Spark Interiors Ltd until full payment is received.

Upon full payment, you are granted a non-exclusive licence to use the designs for the specific project only. You may not copy, reproduce, distribute, or share our designs with competitors or use them for other projects without our prior written consent.

We reserve the right to photograph completed projects for our portfolio and marketing materials unless you notify us in writing of any objections.

11. Privacy and Data Protection

We are committed to protecting your personal information in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong. Our collection, use, and handling of personal data are governed by our Privacy Policy.

By engaging our services, you consent to our collection and use of your personal information for the purposes of providing services, processing payments, communicating about your project, and improving our services.

12. Dispute Resolution

In the event of any dispute arising from or related to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiation.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may refer the matter to mediation administered by the Hong Kong Mediation Centre. If mediation is unsuccessful, the dispute shall be resolved by arbitration in Hong Kong in accordance with the HKIAC Administered Arbitration Rules.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You agree to submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any disputes.

14. General Provisions

Entire Agreement

These Terms, together with our quotation, contract, and any written agreements, constitute the entire agreement between you and Spark Interiors Ltd regarding our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor or affiliate.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, epidemics, government actions, strikes, or supply chain disruptions.
